Terms of service
Effective Date: April 30, 2026
This Terms of Service Agreement (the “Agreement”) constitutes a binding legal contract between the purchaser (“Buyer”) and Universal Amino (“Universal Amino,” “we,” “our,” or “us”), and governs all purchases made through [www.universalamino.com] (the “Site”). By accessing the Site or purchasing any product, Buyer agrees to be bound by this Agreement.
Section 1. Research Use Only
All products offered by Universal Amino, including but not limited to peptides, proteins, research chemicals, reagents, and related substances (“Products”), are sold strictly for in vitro laboratory research purposes only.
Products are:
- Not intended for human or animal consumption
- Not intended for use in food, drugs, medical devices, or cosmetics
Buyer acknowledges that Products are experimental in nature and have not been evaluated by the U.S. Food and Drug Administration or any other regulatory authority.
Section 2. Buyer Eligibility
Buyer affirms that:
- They are at least twenty-one (21) years of age
- They possess the knowledge, training, and authorization necessary to lawfully acquire and use the Products
- They are purchasing for legitimate research purposes
Buyer is solely responsible for compliance with any institutional or organizational requirements.
Section 3. Regulatory Compliance
Buyer represents and warrants that they will comply with all applicable laws, including those of the State of California, and all federal and international regulations governing research chemicals. Buyer is solely responsible for obtaining any required permits, licenses, or approvals.
Section 4. Restrictions on Use and Transfer
Buyer agrees that Products shall be used only for in vitro laboratory research purposes and shall not be:
- (a) used in or on humans or animals;
- (b) used for diagnostic, therapeutic, clinical, cosmetic, or household purposes;
- (c) repackaged, relabeled, resold, exported, or transferred without prior written consent; or
- (d) used in any manner inconsistent with applicable laws or this Agreement.
Section 5. Intellectual Property
All content on the Site is the property of Universal Amino or its licensors and is protected by applicable intellectual property laws. No license is granted by purchase. Buyer is responsible for determining any patent restrictions.
Section 6. Orders, Pricing, and Payment
- Prices are subject to change without notice
- We may refuse or cancel any order at our discretion
- Payment is required at checkout
Buyer agrees to attempt to resolve disputes with Universal Amino before initiating a chargeback.
Section 7. Shipping, Title, and Risk of Loss
Title and risk of loss transfer to Buyer upon delivery to the shipping carrier. Universal Amino is not responsible for shipping delays, losses, or customs issues.
Section 8. Returns
All returns are governed by our Refund Policy.
Section 9. Indemnification
Buyer agrees to indemnify and hold harmless Universal Amino from any claims, damages, or expenses arising from misuse of Products, violation of this Agreement, or violation of law.
Section 10. No Warranties
ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
Section 11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED UNDER CALIFORNIA LAW, UNIVERSAL AMINO’S LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE PRODUCT(S).
Section 12. Confidentiality
Buyer agrees not to disclose any non-public or proprietary information provided by Universal Amino.
Section 13. Modifications
We may update these Terms at any time. Continued use constitutes acceptance.
Section 14. Governing Law and Venue
This Agreement shall be governed by the laws of the State of California. For any disputes not subject to arbitration, exclusive jurisdiction and venue shall lie in the state and federal courts located in or serving Butte County, California.
Section 15. Arbitration and Class Action Waiver
Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered by the American Arbitration Association (AAA).
- Arbitration shall take place in Butte County, California
- The parties waive any right to participate in class or representative actions
- Claims may be brought only on an individual basis
Nothing prevents either party from filing eligible claims in small claims court located in Butte County.
Section 16. California Consumer Rights
California residents may have additional rights under the California Consumer Privacy Act. See our Privacy Policy for details.
Section 17. Entire Agreement and Severability
If any provision is found unenforceable, the remainder shall remain in effect.
By using the Site, Buyer agrees to these Terms.
